1. Acceptance of Terms
By accessing or using Envelo ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Services
Envelo provides a budgeting application that helps users manage their personal finances, track income and expenses, and plan budgets effectively. The Service may include additional features, services, and tools as we continue to develop and enhance the application.
3. User Responsibilities
As a user of Envelo, you agree to:
- Provide accurate and complete information during registration and account setup.
- Maintain the confidentiality of your account credentials.
- Notify us immediately of any unauthorized use of your account.
- Use the Service in compliance with all applicable laws and regulations.
4. Account Terms
To access certain features of the Service, you may be required to create an account. You are responsible for all activities that occur under your account. You must provide accurate information and keep your account information up to date.
We reserve the right to suspend or terminate your account at our discretion, without notice, for any reason, including but not limited to violation of these Terms.
5. Intellectual Property
All content, features, and functionality on Envelo, including but not limited to text, graphics, logos, and software, are the exclusive property of Envelo or its licensors and are protected by Canadian and international intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our prior written consent.
6. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Violating any applicable laws or regulations.
- Infringing the intellectual property rights of others.
- Transmitting any harmful or malicious code.
- Attempting to gain unauthorized access to the Service.
- Using the Service to harass, abuse, or harm another individual.
7. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
8. Disclaimers and Limitation of Liability
Disclaimers: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Envelo makes no warranties, express or implied, regarding the accuracy, reliability, or availability of the Service.
Limitation of Liability: To the fullest extent permitted by law, Envelo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service;
- Unauthorized access, use, or alteration of your transmissions or content.
9. Indemnification
You agree to defend, indemnify, and hold harmless Envelo and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from:
- Your use of and access to the Service;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
- Any claim that your use of the Service caused damage to a third party.
10. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the Province of Nova Scotia, Canada, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Nova Scotia, Canada, in accordance with the rules of the Arbitration Act.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.
13. Entire Agreement
These Terms constitute the entire agreement between you and Envelo regarding the use of the Service, superseding any prior agreements between you and Envelo regarding the Service.
